Beta Software Terms & Conditions

These Beta Software Terms & Conditions (“Terms”) govern your access to and use of any pre‑release, beta, preview, or test software, plugins, add‑ons, or related materials (collectively, the “Beta Software”) provided by Red Transit Consultants, LLC (“RTC,” “we,” “us,” or “our”).

By clicking “I Agree,” accessing, downloading, or using the Beta Software, you (“User,” “you,” or “your”) agree to be bound by these Terms.

1. Purpose of Beta Software

The Beta Software is provided solely for evaluation, testing, and feedback purposes. It is not intended for production use, safety‑critical workflows, or reliance in live projects.

2. License Grant

Subject to these Terms, RTC grants you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to install and use the Beta Software solely for internal testing and evaluation.

All rights not expressly granted are reserved by RTC.

3. Beta Status and Acknowledgment of Risk

You acknowledge and agree that:

The Beta Software is experimental and unfinished
It may contain bugs, errors, data loss risks, or incorrect results
It may be modified, suspended, or discontinued at any time
It may not perform as intended or as described

You assume all risk arising from use of the Beta Software.

4. Restrictions

You agree not to:

Use the Beta Software in a production environment
Reverse engineer, decompile, or disassemble the Beta Software
Distribute, sublicense, lease, sell, or share the Beta Software with third parties
Publish benchmarks, performance results, or screenshots without RTC’s written consent
Use the Beta Software in violation of applicable laws or Autodesk® license terms

5. Feedback

You may provide feedback, suggestions, bug reports, or other input (“Feedback”).

You grant RTC a perpetual, irrevocable, royalty‑free license to use, modify, incorporate, and commercialize Feedback without compensation or obligation to you.

6. No Support or Service Levels

RTC is under no obligation to provide:

Support
Maintenance
Updates
Fixes
Documentation

Any support provided is at RTC’s sole discretion.

7. Confidentiality

The Beta Software and any related non‑public information are confidential. You agree not to disclose, demonstrate, or share the Beta Software or related materials without RTC’s prior written consent.

8. Ownership

The Beta Software is licensed, not sold. RTC retains all right, title, and interest, including all intellectual property rights.

9. Termination

RTC may terminate or suspend your access to the Beta Software at any time, with or without notice, for any reason or no reason.

Upon termination, you must:

Cease all use of the Beta Software
Uninstall and delete all copies in your possession

10. Disclaimer of Warranties

THE BETA SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

RTC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON‑INFRINGEMENT
ACCURACY OR RELIABILITY OF RESULTS

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

RTC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES
RTC’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE BETA SOFTWARE SHALL NOT EXCEED $100 USD

12. Indemnification

You agree to defend, indemnify, and hold harmless RTC and its members, managers, and contractors from any claims, damages, losses, or expenses arising from:

Your use of the Beta Software
Your violation of these Terms
Your violation of any third‑party rights

13. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict‑of‑law principles.

14. Entire Agreement

These Terms constitute the entire agreement between you and RTC regarding the Beta Software and supersede all prior discussions or agreements.
